Reseller & White-Label Terms

These terms supplement a written reseller authorization or order incorporating them. They do not automatically appoint every account holder as a reseller. The signed agreement identifies the platform operator, reseller legal entity, commercial scope and effective date.
1. Authorization and branding
An authorized reseller may supply the agreed service under approved branding, domains and email identity. It must have rights to the names and assets used and must not misrepresent platform ownership, capabilities or regulatory approval. Reseller branding does not transfer intellectual property in the platform.
2. Customer contracts and support
Before selling, identify the entity contracting with the customer, its address, billing and grievance contacts, prices, refund policy and data roles. Unless a signed arrangement says otherwise, the reseller contracts with and supports its own customers and escalates platform issues to the operator. The platform does not automatically assume the reseller’s promises or debts.
The reseller may create and administer authorized customer organizations, accounts and invitations within its allocation. It must use least-privilege access and communicate the Calling Guidelines and applicable privacy/data-processing terms to customers. Customer data remains controlled by the relevant customer; administering a workspace does not grant unrestricted ownership of that data.
3. Allocations, prices and billing
The platform sets the reseller’s wholesale prices and ceilings for accounts, organizations, users, teams, agents, usage and concurrency as agreed. The reseller may allocate permitted capacity and customer pricing within those ceilings; it may not alter platform-controlled wholesale amounts or exceed its allocation. Extra capacity requires platform approval.
The reseller is responsible for its platform charges, customer collections, tax obligations and customer refunds under its contracts. Internal credit transfers are allocations, not evidence of cash payment. Clearly distinguish paid balances from rewards and adjustments. The applicable order controls deposits, payment dates, settlement and any specific refund arrangements.
4. Privacy and communications
The Data Processing Terms describe platform processing and reseller/customer responsibilities. The reseller must establish authority before accessing customer recordings or contacts, use authorized email domains and sender details, and route privacy and abuse complaints to the responsible entity. Purchasing a mailbox does not itself create consent to send marketing.
Customer-supplied credentials and integrations must be used only as authorized. Protect secrets, remove access when staff leave and inform the platform promptly of suspected compromise affecting the service.
5. Suspension, termination and customer continuity
The signed order governs term, renewal, notice and termination rights; platform service terms govern unlawful use and suspension. On termination, stop representing yourself as authorized, settle outstanding charges and cooperate in disabling branding and delegated access.
Before a planned termination, agree a customer transition with the platform and affected customers: notice, a reasonable export opportunity where lawful and available, custody of numbers and domains, data deletion instructions and who handles remaining balances and support. Migration, number transfer and uninterrupted service depend on authorization, provider capabilities and an agreed plan; none is automatic. An urgent security or legal suspension may limit advance access.
Do not transfer customer information to a new operator without the necessary authority and safeguards. Platform termination does not remove the reseller’s obligations to its customers or convert their balances into a direct platform refund entitlement.

For a request or complaint, include your workspace or the business that contacted you, the relevant date and a description. We may need to verify authority before sharing records. If a response does not resolve your concern, reply to the same correspondence with “Grievance escalation” and the earlier reference, requesting review by the responsible representative. Applicable statutory complaint rights remain available.
White-label customers should also use the seller’s legal and grievance details on their order or invoice. These platform details do not replace the reseller’s identity.
